Advising on the establishment of a sino-foreign joint venture in Guangzhou for the construction and sale of Guangzhou World Trade Centre through overseas offshore vehicle (with contribution to the preparation and drafting of Guangzhou mortgage law).

Advising the owner on the sale of a landmark office building in Qingdao, PRC, through the disposal of an offshore investment vehicle for a sum of over US$40 million.

Advising the controlling shareholder on the sale of a 30% equity in a property development and investment company in Shanghai to one of the biggest U.S. investment banks. The net asset value of the company was valued at US$1 billion.

Advising a Guangzhou based company which provides comprehensive real estate agency services on fund-raising and corporate reorganization in preparation for an initial public offering in Hong Kong. The fund-raising exercise included an issue of a series of convertible loan notes in the aggregate principal amount of HK$12 million.

Acting for a Hong Kong listed company, which principal business activity was property investment and development in the PRC, in a major transaction in respect of the disposition of a 51% owned subsidiary for a consideration of HK$350 million. The disposed subsidiary itself was an investment holding company which owns various subsidiaries and was entitled to the entire profits, assets and liabilities generated by a huge property development project in Guangzhou.

Advising a Hong Kong listed company, which was principally engaged in the provision of comprehensive real estate agency services, in a discloseable transaction in respect of the acquisition of an interest in a group of companies which were engaged in the provision of property management, consultancy, agency and other related services in PRC.
