Stevenson, Wong & Co. Held Online Seminar on “Legal Risk Management of IPO in Hong Kong”.

On 12 June 2017, our partner Mr. Eric Lui was invited by “zhi10.com” to host an E –class in Shanghai with the topic “Legal Risk Management of IPO in Hong Kong”.

Mr. Lui introduced the requirements for IPO’s in Hong Kong and examined the legal risks that mainland enterprises might face during the process, such as suitability of the IPO, responsibility of directors, ongoing obligations of a listed company, connected transactions and market misconduct so as to cover effective planning for risk management.

The E-class received positive feedback and the registered users of “zhi10.com” can watch the recorded seminar online.

Immigration News Update

HK Immigration Department combating false instruments in visa applications
The Immigration Department (“ImmD”) has always been concerned about dishonest intermediaries who seek to obtain Hong Kong visas for applicants through illegal means. Hence, the ImmD combats use of false instruments in visa applications in a rigorous manner. On 6 June 2017, the ImmD prosecuted a female defendant for using false instruments and false statements for the purpose of obtaining visas/ entry permits for visa applicants.

Under the current law, it is an offence to make, possess or use false instruments. Upon conviction, offenders are subject to a maximum penalty of 14 years’ imprisonment.

The above serves as a reminder that applicants should always obtain visas through legal means. If necessary, they should seek legal advice.

Stevenson, Wong & Co. participated in “SmartHK” exhibition in Fuzhou

SW partner Mr. Eric Lui, Mr. Rodney Teoh and Head of Business Development (China) attended the “SmartHK” exhibition held at Shangri-La Hotel, Fuzhou on 25 May 2017.

In response to the Central Government’s 13th Five-Year Plan and Belt and Road Initiative, the signature SmartHK promotion held by Hong Kong Trade Development Council aimed to promote Hong Kong’s creative, technology and business-support expertise with themes focusing on industrial transformation and upgrading. The major services covered professional services, innovative design and marketing, technological advancement and management upgrading.

With the opportunity to explore new markets, SW successfully reached out to potential clients and established new connections in mainland China through this event.

During the exhibition, a large number of business representatives from various sectors including real estate, E-commerce and from the media industry visited SW’s booth and expressed tremendous interest in our services.

SW partners visited AllBright in Xiamen and Fuzhou

Our partners Mr. Eric Lui, Ms. Heidi Chui, Mr. Rodney Teoh and with Head of Business Development Ms. Connie Yeung visited the offices of AllBright in Xiamen and Fuzhou from 23 – 24 May 2017.

Mr. Lui, Ms. Chui and Mr. Teoh held seminars at AllBright’s Xiamen and Fuzhou office to discuss topics including banking & finance, capital market (IPO and M&A), dispute resolution and family trusts. The seminars shed light on the latest development of related laws in Hong Kong and practical execution of the mainland judicial system, and also examined the opportunities and challenges that Fujian, Xiamen and Hong Kong could come across with regards to the “One Belt One Road” policy.

More than 10 lawyers participated in the discussion and contributed their views on M&A in Hong Kong and offshore companies and family trusts. The participants shared their experiences on mainland arbitration and the issues which they have encountered during the execution of arbitration awards. The seminar led to fruitful discussions, which was a huge success to cement the foundation for further cooperation between our firms.

Stevenson, Wong & Co. attended 2017 Tianjin – Hong Kong Lawyer and Commercial Exchange Forum

Our Mr. Eric Lui attended the first Tianjin – Hong Kong Lawyer and Commercial Exchange Forum held in Tianjin from 14 – 15 May 2017.

The forum included a conference and a series of site visits, which attracted a number of lawyers and business representatives from Tianjin to join and exchange their views on different topics, such as law, the economy and business development.

Mr. Lui was glad to meet with local lawyers and business representatives to develop a greater understanding and he is already looking forward to more opportunities to communicate and collaborate on various projects.

Stevenson, Wong & Co. attended Sharing Session at China Everbright Bank

On 5 May 2017, our partner Mr. Eric Lui, legal executive Mr. Man Wong and Miss Hebe Au attended a legal seminar with AllBright Law Office partner Mr. Xiaodong Du at China Everbright Bank.

The topic of acquisition financing and pre-IPO investment financing were discussed and Mr. Lui used the opportunity to introduce two types of financing and explained the legal procedures together with the solutions to legal challenges during the process. He illustrated the restructuring process and financial requirements for re-chip companies in pre-IPO investment financing.

More than 40 attendees, including in-house legal counsels for the bank gave positive feedback on Mr. Lui’s presentation and proactively shared their thoughts to enrich the seminar.
