Stevenson, Wong & Co. advised Lotus Horizon Holdings Limited (Stock Code: 6063) (“Lotus Horizon”) on its successful listing on the Main Board of The Stock Exchange of Hong Kong Limited on 15 April 2020. Lotus Horizon offered a total of 500 million shares priced at HK$0.25 per share, raising gross proceeds of approximately HK$125 million.
Lotus Horizon and its subsidiaries are a subcontractor engaged in the design, supply, and installation services for façade works and building metal finishing works projects in Hong Kong. They have completed various façade works and building metal finishing works projects for commercial properties, residential properties, and public facilities in Hong Kong, including large-scale public sector projects initiated by the Hong Kong Government and residential and commercial properties with distinguished and remarkable designs.

The sole sponsor of the listing was Innovax Capital Limited. The sole bookrunner was Sunfund Securities Limited. The shares of Sunlight Technology were listed on the Stock Exchange on 12 March 2020. Sunlight Technology offered a total of 250 million shares, among which 25 million shares were offered under the Hong Kong public offering and 225 million shares were offered under the international placing. The final offer price has been determined at HK$0.52 per offer share, and the net proceeds from the global offering are approximately HK$84.7 million.

Sunlight Technology and its subsidiaries (the “Group”) are an established faux leather chemicals manufacturer in the PRC principally engaged in the research and development, manufacturing and sale of coating agents and synthetic resins under the established brand of “深蓝科技”. According to a report commissioned by the Group and independently prepared by an industry consultant, the Group ranked 4th in the faux leather coating agents market in the PRC in terms of revenue in 2018.

Stevenson, Wong & Co. advised Kwung’s Holdings Limited (“Kwung’s”, Stock Code: 1925.hk) as its Hong Kong legal advisers on its initial public offering (“IPO”) on the Main Board of The Stock Exchange of Hong Kong Limited.

The IPO comprised an issue of a total of 100 million shares priced at HK$1.28 per share, raising gross proceeds of approximately HK$128 million.

Kwung’s is a prominent original design manufacturer and supplier of home decoration products, comprising candles, home fragrance and home accessories which are sold to customers situated in more than 20 countries and regions, including France, United Kingdom, the Netherlands, Germany, Canada and Australia where candles and home fragrance are widely used in ordinary people’s daily life.

Stevenson, Wong & Co. advised World Super Holdings Limited (Stock Code: 8612) (“World Super”) on its successful listing on GEM of The Stock Exchange of Hong Kong Limited on 12 July 2019. World Super offered a total of 150 million shares priced at $0.55 per share, raising gross proceeds of approximately HK$82.5 million.

World Super and its subsidiaries mainly (i) rent crawler cranes, oscillators, reverse circulation drills and hydromill trench cutters for construction projects in Hong Kong and Macau; (ii) trade crawler cranes, reverse circulation drills, trench cutters, oscillators and/or related spare parts to customers in Hong Kong, Macau and the Philippines; and (iii) provide machinery transportation services and other affiliated services

Our senior associate Mr. Gordon Tsang acted as the Joint Company Secretary of Mabpharm Limited – B (stock code: 2181) (“Mabpharm”) in its successful listing of its shares on the Main Board of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) under Chapter 18A of the Hong Kong Main Board Listing Rules.

The shares of Mabpharm were listed on the Stock Exchange on 31 May 2019. The final offer price was HK$1.50 per share and the proceeds amounted to approximately HK$1.068 billion.

Mabpharm’s pipeline contains mAbs to treat cancer and autoimmune diseases, with three biosimilars in Phase III testing: CMAB007, a proposed biosimilar of dermatology and asthma drug Xolair omalizumab from the Genentech Inc. unit of Roche (SIX:ROG; OTCQX:RHHBY); CMAB009, a proposed biosimilar of cancer drug Erbitux cetuximab from Eli Lilly and Co. SW acted as the Hong Kong legal advisers to Wai Hung Group Holdings Limited (stock code: 3321) (“Wai Hung Group”) in its successful listing of its shares on the Main Board of The Stock Exchange of Hong Kong Limited (the “Stock Exchange”).

The shares of Wai Hung Group were listed on the Stock Exchange on 23 April 2019. 125 million shares were offered, among which 25 million were public offer shares and 100 million were placing shares. The final offer price was HK$1.4 per share and the proceeds amounted to approximately HK$175 million.
Wai Hung Group is a contractor providing fitting-out services and repair and maintenance services in Macau. Wai Hung Group’s fitting-out services primarily cover refitting works for existing buildings and extend to casinos, retail areas, hotels, restaurants, commercial properties and residential properties.
