On 28 May 2022, our Partner Rodney Teoh was invited by Shanghai AllBright (Shenzhen) Law Offices to be one of the guest speakers at the webinar “SPAC Listing in the United States, Singapore, and Hong Kong”. The seminar was conducted in a hybrid format, with offline venues in Shenzhen and Guangzhou. Over a thousand people watched the live streaming.

The seminar was organised by Shanghai AllBright Law Offices Shenzhen Office, co-hosted by Shenzhen Research Association of Corporate Governance, Shenzhen Securities Association Investment Banking Business Professional Committee, Shenzhen Lawyer Association International Exchange and Cooperation Working Committee, and Shenzhen Lawyer Association Tourism and Hotel Legal Professional Committee. It was jointly organised by Shanghai AllBright Law Offices Shenzhen Office Cross-Border and Foreign-Related Business Professional Committee, Securities and Capital Market Business Professional Committee and the directors office group of Lv Cu Young People Growth Platform (律簇青年人成长平台 董办圈).

Our Partner Rodney Teoh spoke on “New Opportunities for Hong Kong SPAC Listing”. He introduced Hong Kong’s SPAC listing system, including the background, rules, investment highlights, as well as the typical processes and requirements of SPAC listing / De-SPAC. He then compared the differences among SPAC listings in Hong Kong and around the world, and highlighted the benefits of SPACs in terms of reduced listing time and the certainty of valuation. He concluded his talk by sharing the case studies on Hong Kong SPAC listings and explained the details of SPAC listing and the major term of De-SPAC.

The seminar was well-received by the on-site and online audience, and was concluded with a vibrant Q&A session, including a discussion on the comparison of the SPAC landscape in multiple jurisdictions.

On 27 May 2022, our Partner Gordon Tsang and Associate Gary Kwok were invited by The Association of Hong Kong Accountants (AHKA) to speak on Hong Kong’s Special Purpose Acquisition Company (SPAC) listing regime.

During the 2-hour webinar, Mr. Tsang and Gary introduced the SPAC listing regime by explaining SPAC’s main board listing rules, the current market situation, pros & cons, and the difference of SPAC listing regimes between Hong Kong, the US, and Singapore. They concluded the webinar by addressing that Hong Kong may be the best option for investors who want to acquire PRC companies by SPAC listing due to the tension between the US and the PRC.

The course was delivered via a webinar due to the pandemic. Nevertheless, the engaging webinar generated significant interest from AHKA’s members with positive feedbacks.

在两个半小时的课程中，徐律师联同卢律师和陈先生先讲解了操纵市场计划- “唱高散货”骗局，以及香港证券与期货事务监察委员会(“证监会”)于2021年5月发表的《有关涉及首次公开招股的失当行为的联合声明》和相关之打击措施。其后，他们就涉及董事不当行为相关的企业欺诈、有关中介人工作/销售手法缺失，和与打击洗钱及/或内部监控有关的《操守准则》等方面进行了最新案例研究，阐述了当中的主要违规事项与证监会作出的处罚。最后，他们介绍了与证监会执法相关法律及规定的新发展，如与内地监管机构进一步加强合作等结束了本次培训。

本次课程获得了HKSFE会员的高度评价，认为课程内容充实实用，对证监会之监管策略与方针有更深刻的了解。

(中文) 2022年5月21日，本所合伙人、诉讼及争议解决部主管徐凯怡律师再度受北京大学法学院邀请担任讲师，向北大法学院的本科及硕士生进行模拟国际仲裁课程培训，并分享仲裁经验。

本次课程由香港律师会和北京大学法学院共同合作举办，旨在让学生们学习和掌握跨境仲裁的知识及实务。徐律师在课程中向学生们分享了自身的仲裁经验，并为他们在模拟仲裁中的表现作出了细致的点评。

今年的课程因疫情原因以线上形式授课，但亦无阻学生们的积极参与。课程结束后，学生们均表示本次教学内容丰富，让他们加深对国际仲裁实操的训练。

On 17 May 2022, our Partner Rodney Teoh was invited by Cheng & Cheng Taxation Services Limited to be the guest speaker of a CPD webinar titled “HKEx’s New Overseas Issuers Listing Regime – Core Standards and New Opportunities for Homecoming Listings”.

During the webinar, Rodney explained HKEx’s new overseas issuers listing regime by giving an overview of the key changes in the enhanced overseas issuer listing regime and the new uniform set of shareholder protection core standards. He also summed up the new opportunities and benefits of homecoming listings and the details of the dual primary listing and secondary listing regimes. He concluded the webinar with discussions on case studies on homecoming listings in Hong Kong.

The webinar was well-received with over 250 participants joining the event.
